Job Description:
If selected, you will serve as an Attorney Adviser (Special Counsel) advisor responsible for a broad range of assignments in the Division of Corporation Finance's Office of Chief Counsel (OCC). OCC provides legal counsel and policy advice to Division and agency staff on the statutes and regulations the Division of Corporation Finance administers. OCC also develops and provides interpretive guidance and assists the public with questions related to those statutes and regulations.

Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. Qualifying education must have been obtained from an accredited college or university recognized by the U.S. Department of Education. BASIC REQUIREMENT: All applicants must possess the following J.D. or LL.B. degree --AND-- Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty. MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement. SK-14: Applicant must have 3 year(s) of post J.D. work experienceidentifying legal issues, conducting legal research, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, such as contracts, dispositions, pleadings, and motions, which also includes, 2 years of which includes: (1) Interpreting and providing guidance on rulemaking related to securities regulatory matters; (2) Providing legal advice regarding the general application of the Securities Act of 1933, Exchange Act of 1934, and other federal securities laws and recommending the resolution of disclosure reporting issues; (3) Providing guidance and evaluation on rulemaking initiatives and overarching policy issues related to the federal securities laws.
Advising on the Securities Act of 1933, the Securities Exchange Act of 1934, other federal securities laws, and their associated rules, regulations and forms. Applying the federal securities laws to evolving and complex products and capital markets transactions. Developing Division interpretive positions under the federal securities laws and ensuring their consistency with the wide range of federal and state legal, regulatory, and administrative requirements applicable to securities issuers and transactions. Reviewing and recommending responses to no-action and interpretive requests and exemptive applications. Assisting with special projects.
